Scope

These General Terms and Conditions (hereinafter referred to as "GTC") of MAY International S.A.. (hereinafter referred to as "MAY") apply to all rights and obligations based on the business relationship between MAY and its customers. By placing an order, the customer accepts the version of the GTC valid at the time of ordering as an integral part of the contract. The offer on this website is directed exclusively to a clientele with residence or company headquarters in Switzerland or Liechtenstein. Deliveries are made exclusively to addresses in Switzerland or Liechtenstein. These GTC apply exclusively. Conflicting, supplementary or deviating terms and conditions require the express written confirmation of MAY in order to be valid. By using this website or ordering goods, the customer confirms that he fully accepts these GTC, including the terms of delivery and payment. Should individual provisions of the contract including the GTC be wholly or partially invalid, the validity of the remaining provisions or parts of such provisions shall remain unaffected. The invalid provision shall be replaced by a provision which comes as close as legally possible to the purpose of the invalid provision. MAY expressly reserves the right to amend these GTC at any time and to bring them into force without notice.

We reserve the right to make price and product range changes as well as technical changes. All offers on this website are subject to change and are not to be understood as a binding offer. MAY is not able to give assurances or guarantees for the topicality, completeness and correctness of the data as well as for the constant or undisturbed availability of the website, its functionalities, integrated hyperlinks and further contents. In particular, no representation or warranty is made that the use of the website will not infringe the rights of third parties not owned by MAY.

Prices and product information

The prices shown on https://www.may-ltd.com/ are exclusively in Swiss francs, including value added tax. Not included are processing fees and shipping costs. These are charged separately and shown separately in the order process. The products and prices in the online shop are considered as an offer. However, this offer is always subject to the contract-dissolving condition of an impossibility of delivery or an incorrect price quotation. MAY reserves the right to change prices at any time and without prior notice. However, the prices valid on the order date and indicated on the order confirmation shall always apply to the products ordered by customers. Technical changes, errors and misprints are reserved. Consulting and support services are not included in the sales prices.

Conclusion of contract

Orders become binding as soon as the customer places the order. The order is placed via the online shop, by telephone, in writing or verbally. The order confirmation of MAY be sent by e-mail. In the case of short-term deliveries, the delivery note/invoice may replace the written confirmation. The customer may cancel the order within 10 days of receipt of the confirmation, provided that the order has not yet been delivered. By placing an order, the customer accepts these General Terms and Conditions in full and without restriction, to the exclusion of any other existing terms or conditions. MAY reserves the right to refuse any order placed by a customer. Orders will only be delivered after payment has been received in full and subject to the goods being available. Should it transpire after conclusion of the contract that the ordered goods cannot be delivered or cannot be delivered in full, MAY shall be entitled to withdraw from the entire contract or from a part of the contract. Claims due to delay in delivery or failure to deliver are excluded.

Payment

The customer may use the payment options offered in the online shop. Payments must be made in Swiss francs. MAY reserves the right to exclude customers from individual payment options without giving reasons or to insist on payment in advance. In the event of late payment, MAY shall charge interest on arrears of up to 15% per year and a reminder fee of a maximum of CHF 20 per reminder. The products delivered to the customer remain the property of MAY until payment has been made in full.

Delivery

The delivery address of the customer must be easily accessible by truck. If this is not the case, the customer shall bear any additional costs. MAY attaches great importance to providing up-to-date and accurate information on availability and delivery times in the online shop. However, delays in delivery may occur, particularly due to production or delivery bottlenecks. All information on availability and delivery times is therefore without guarantee and may change at any time. The delivery dates published in the online shop are based on the current information available to MAY. In no case shall delays in delivery constitute grounds for claims for damages or a right to withdraw from the contract.

If the customer does not accept the ordered products on the agreed or indicated delivery date, MAY may dissolve the contract and charge the customer for the delivery costs incurred and any loss in value.

Complaint

The customer is obliged to check the goods immediately upon receipt of the delivery and to complain about any defects or deviations from his order. Said complaints or claims must be communicated to MAY immediately, but at the latest within 5 days of delivery, by e-mail or registered letter to the address in the imprint.

Warranty (guarantee)

Quality is very important to us. If you have any problems or questions about your bike, please feel free to contact us at any time.

The warranty is excluded to the extent permitted by law.

  • The following warranty claims apply only to the first legal owner who acquires ownership by purchasing the bicycle from an authorised dealer or distributor of MAY International S.A.. Proof of purchase (by means of a warranty certificate) must be provided in order to make warranty claims. Warranty claims are not transferable.
  • MAY International S.A. guarantees a bicycle marked MAY International S.A. against defects in material and workmanship for a period of 2 years from the date of purchase.
  • MAY International S.A. shall, at its own discretion, either replace the defective product with a product of a similar type and quality or repair it. Conversion and reduction are excluded.
  • Wear parts such as tires, inner tubes, chains, brake pads, shift/brake cables and covers, lighting systems, grips, sprockets, chainrings, etc. and parts that have been modified by the buyer or damaged as a result of improper handling, accident or poor maintenance are excluded from the warranty.
  • The warranty does not apply if the purchaser was already aware of the defects prior to purchase or did not comply with his obligation to notify defects immediately after purchase of the product.

No guarantee is given:

  • For damage caused by normal wear and tear, improper assembly or maintenance, tampering and intervention, in particular installation of spare parts or attachments not originally intended for or compatible with this bike.
  • For damage or malfunctions due to accidents, improper handling or negligence (e.g. damage caused by the elements, moisture, falling and impact damage, etc.).
  • For labour costs for the replacement of parts or due to a retrofit.

The costs for a repair outside the warranty shall be borne by the customer.

Liability

MAY excludes all liability, irrespective of its legal basis, as well as claims for damages against MAY and any auxiliary persons and vicarious agents. In particular, MAY shall not be liable for direct or indirect damages and consequential damages, loss of profit or other personal injury, property damage and pure financial loss of the customer. Further mandatory legal liability, for example for gross negligence or unlawful intent, remains reserved. MAY accepts no liability for damage due to unsuitable, faulty or negligent handling or assembly.

Data protection

The Federal Data Protection Act applies to the processing of personal data by MAY, see the Data Protection section.

Applicable law and place of jurisdiction

Swiss law is exclusively applicable, to the express exclusion of the Federal Act on Private International Law (IPRG) and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Spreitenbach, AG. MAY is entitled to sue the customer at any other competent court.
